Acceptance of Terms

Welcome to Word Flip. These Terms of Service ("Terms") are a legal agreement between you and Scale Initiative ("we," "our," or "us") governing your use of the Word Flip mobile application (the "App").

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

We may modify these Terms at any time. We will notify you of changes through the App. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms.

Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you meet this age requirement.

You also represent that:

  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the App under applicable law
  • You will comply with all applicable laws and regulations

Description of Service

Word Flip is a mobile app for recording voice clips, reversing playback, and sharing creative audio moments.

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the App.

We make our best effort to maintain App availability, but cannot guarantee uninterrupted access.

We may require you to update the App to continue using it. Failure to install required updates may result in reduced functionality or inability to use certain features.

User-Generated Content

Your Content

The App allows you to create, upload, and share content including audio. You retain ownership of content you create.

License to Us

By posting content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Store and display content in the app
  • Modify/adapt content for technical purposes

This license exists for the duration that your content is on the App and for a reasonable period thereafter for backup and archival purposes.

Content Responsibilities

You are solely responsible for your content. You represent and warrant that:

  • You own or have the necessary rights to your content
  • Your content does not violate any third-party rights
  • Your content does not violate any applicable laws
  • Your content complies with these Terms

Payments and Subscriptions

Pricing

The App offers the following payment options:

  • In-app purchases (consumables)
  • Subscriptions (auto-renewing)

All prices are in the currency specified in the App Store or Play Store for your region. Prices are subject to change with notice.

Subscriptions

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current subscription price. To avoid charges, you must cancel before the renewal date.

Cancellation

Users can cancel through iOS Settings > Apple Account > Subscriptions.

Cancellation takes effect at the end of the current billing period. You will retain access until that time.

Payment Processing

Payments are processed through the Apple App Store or Google Play Store. By making a purchase, you agree to their payment terms and policies. We do not store your payment information.

Refunds

Refunds are handled according to the App Store or Play Store refund policies. Generally, all sales are final unless required by law.

Taxes

You are responsible for any applicable taxes related to your purchases. Prices may not include all applicable taxes, which may be added at checkout.

Acceptable Use Policy

Prohibited Activities

You agree not to use the App for any of the following purposes:

  • Illegal activities
  • Harassment or bullying
  • Hate speech or discrimination
  • Violence or threats
  • Intellectual property infringement
  • Hacking or unauthorized access
  • Spam or unsolicited advertising

Enforcement

We reserve the right to investigate violations of these Terms and take appropriate action, including:

  • Removing violating content
  • Suspending or terminating accounts
  • Reporting illegal activity to law enforcement
  • Taking legal action

We have no obligation to monitor user activity but reserve the right to do so.

Intellectual Property Rights

Our Content

The App and its content, features, and functionality (excluding user-generated content) are owned by Scale Initiative and are protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the App or its content for commercial purposes without permission
  • Frame or mirror any part of the App

Trademarks

Word Flip and associated logos are trademarks of Scale Initiative. You may not use our trademarks without prior written permission.

Disclaimers

"AS IS" and "AS AVAILABLE"

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • Merchantability and fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content
  • Uninterrupted or error-free operation
  • Security or freedom from viruses

No Endorsement

We do not endorse any user-generated content or third-party content. Opinions expressed by users are their own and do not reflect our views.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SCALE INITIATIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Damage to or loss of property
  • Personal injury or death (except as caused by our negligence)
  • Damages arising from your use of or inability to use the App
  • Damages arising from third-party content or services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Termination

Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, for any reason, including:

  • Violation of terms of service

We may terminate immediately without notice for serious violations or illegal activity.

Dispute Resolution

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law provisions.

Jurisdiction

Any legal action related to these Terms must be brought in the courts of England and Wales. You consent to the exclusive jurisdiction of these courts.

Time Limit for Claims

Any claim must be brought within one (1) year of the event giving rise to the claim, or it is waived.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through the App.

Your continued use of the App after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

We encourage you to review these Terms periodically.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scale Initiative regarding the App.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

Assignment

You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.

Electronic Communications

By using the App, you consent to receive electronic communications from us. These communications may include notices, agreements, and other information. You agree that electronic communications satisfy any legal requirement for written communications.

Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
